TERMS OF SERVICE

Terms of service

Effective: October 9, 2026

These Terms form a binding agreement between your organization and Captain’s Media Limited, a company incorporated in Hong Kong and trading as Flagship Signage (“Flagship”, “we”, “us”). They cover the Flagship Signage dashboard, players, websites, managed content services, hardware sales and support (the “Service”). By creating an account, accepting an Order or using the Service, you agree to these Terms.

1. Eligibility and authority

The Service is intended for businesses, organizations and their authorized users. You must be legally capable of entering a contract. If you act for an organization, “you” and “Customer” refer to that organization, and you confirm that you are authorized to bind it.

2. The Service and orders

Flagship Signage lets customers create, upload, schedule, distribute and remotely manage content shown on supported screens and players. Features include templates, playlists, schedules, live widgets, multi-zone layouts, Live Capture, video walls, proof-of-play reports and device monitoring.

Your quotation, order form, invoice or checkout page may set out additional commercial terms, screens, hardware, services or limits (an “Order”). If an Order conflicts with these Terms, the Order controls for that purchase.

3. Accounts and users

You must provide accurate, current information. You are responsible for your login details and for all activity by your users, contractors and anyone using your account or paired players. Tell us promptly at support@flagshipsignage.com if you suspect unauthorized access.

4. Your content

You keep ownership of the media, designs, text, feeds and other material you upload, create or display (“Customer Content”). You give us a worldwide, non-exclusive, royalty-free licence during your subscription to host, store, copy, convert, transmit and display Customer Content only to provide, secure and support the Service and to comply with law.

You confirm that you hold every right, licence and permission needed to use and display your Customer Content. We do not routinely review it, but we may remove or restrict content to comply with law, deal with infringement or safety concerns, or enforce these Terms.

5. Live TV, sports and other broadcasts

Live Capture shows whatever is connected to a player’s HDMI capture input, such as a cable or satellite receiver. You are responsible for holding any commercial or public-viewing licence required to show television, sports or other broadcast content in your premises, and for complying with your TV or streaming provider’s terms.

Some sources use copy protection (for example HDCP) that prevents them from being captured or displayed. Live Capture works only on supported Flagship players with compatible capture hardware, and we do not guarantee that every source or channel can be shown.

6. Acceptable use

You must not:

7. Players, screens and connectivity

Unless an Order says otherwise, you are responsible for screens, mounting, electricity, internet connectivity, physical security and display settings. Content is stored on the player so screens keep playing during short internet outages, but we cannot guarantee playback through power failures, network problems, damaged hardware or other causes outside our control.

8. Hardware you buy from us

Players, HDMI capture cards, video wall controllers and other hardware are sold separately and are not included in the subscription price. Prices, delivery and any installation are set out in your Order. Ownership passes to you when the hardware is paid for in full.

Hardware carries the manufacturer’s warranty where one is offered. If a device we supplied is faulty on arrival, contact us within 14 days and we will repair or replace it. Other returns are accepted only where your Order or the law provides for them.

9. Subscriptions, charges and taxes

The Flagship platform costs US$12 per screen per month unless your Order states a different price. Subscriptions renew automatically for the same billing period until cancelled. You authorize us or our payment provider to charge your chosen payment method for charges and applicable taxes when due, and you must keep your billing details current.

Prices exclude taxes unless stated otherwise. Bank, card, currency-exchange and similar charges are your responsibility.

10. Managed content plans

If you add a managed content plan, our team designs, schedules and publishes content for you within the monthly edit allowance of your plan:

Unused edits do not carry over to the next month. Additional work outside your allowance may be charged as quoted. You remain responsible for approving content before it is displayed.

11. Cancellation, refunds and plan changes

You may cancel at any time by contacting us or through your account. Cancellation takes effect at the end of the current paid period and you keep access until then. Fees already paid are non-refundable and unused time is not credited, except where the law, your Order or we say otherwise. Adding screens takes effect immediately and is prorated; reductions take effect at renewal.

We may change prices for future billing periods with at least 30 days’ notice. You may cancel before the change takes effect.

12. Intellectual property

Captain’s Media Limited and its licensors own the Service, software, players, dashboard, templates, documentation and trademarks, excluding your Customer Content and third-party material. Subject to these Terms and payment, we grant you a limited, non-exclusive, non-transferable right during your subscription to use the Service for your organization’s signage.

13. Privacy

Our privacy notice explains how we handle personal information sent through this website. If your Customer Content includes personal information, you are responsible for collecting and displaying it lawfully.

14. Suspension and termination

We may suspend access if payment is overdue, if use creates legal, security or operational risk, or if you breach these Terms. Where appropriate we will give notice and a chance to fix the problem first. Either party may end the agreement for a material breach not fixed within 30 days of written notice. Export any content and reports you need before your account closes; we may delete Customer Content after closure.

15. Changes to the Service

We may update, improve or replace features. We will give reasonable advance notice before removing core paid functionality. Third-party feeds and integrations (weather, sports scores, social media and similar) may change or stop working without notice from their providers.

16. Warranties and disclaimers

We will provide the Service with reasonable care and skill. Otherwise, and to the extent the law allows, the Service is provided “as is” and “as available”, without implied warranties of merchantability, fitness for a particular purpose or uninterrupted, error-free operation.

17. Limitation of liability

To the extent the law allows, neither party is liable for indirect or consequential loss, or for lost profits, revenue, goodwill or data. Our total liability arising from the Service or these Terms will not exceed the fees you paid for the affected Service in the 12 months before the event giving rise to the claim. These limits do not apply where the law prohibits them, or to your payment obligations or liability for your Customer Content.

18. Indemnity

To the extent the law allows, you will defend and indemnify Captain’s Media Limited against third-party claims arising from your Customer Content, your unlawful use of the Service, broadcasts you display without the required licence, or your breach of these Terms.

19. Force majeure

Neither party is liable for delays or failures caused by events beyond its reasonable control, including natural disasters, war, labour disputes, utility or telecommunications failures, government action, cyberattacks or the failure of a major third-party platform.

20. Changes to these Terms

We may update these Terms. We will post the new version with a new date and give reasonable notice of changes that are materially worse for you. You may cancel before such a change takes effect.

21. Governing law

These Terms are governed by the laws of the Hong Kong Special Administrative Region, and Hong Kong courts have exclusive jurisdiction, except that either party may seek urgent relief in any competent court. Mandatory consumer or local protections that cannot be waived are not affected.

22. General

These Terms and your Order are the entire agreement about the Service. If a provision is unenforceable, the rest continues. You may not assign these Terms without our written consent. Notices may be sent to the email address on your account.
